These Terms of Service govern your use of the RoofDemand website at roofdemand.co and any marketing services provided by RoofDemand (“we,” “us,” or “our”). By accessing our website or engaging our services, you agree to these terms. Please read them carefully.

1. Services

RoofDemand provides digital marketing services to roofing companies, including but not limited to local SEO, Google Ads management, Local Services Ads management, landing page design and development, reputation management, and performance reporting.

The specific services delivered to each client are governed by a separate service agreement or statement of work entered into between RoofDemand and the client. In the event of any conflict between these Terms of Service and a signed service agreement, the service agreement controls.

2. Territory Exclusivity

RoofDemand operates on a territory-exclusive basis, meaning we work with only one roofing company per defined service territory. Territory boundaries are established in the client’s service agreement.

Exclusivity is valid only for the duration of an active service agreement. If a client pauses, cancels, or allows their agreement to lapse, their territory exclusivity is released and may be offered to another client.

RoofDemand reserves the right to define and adjust territory boundaries at its sole discretion, in good faith, and in consultation with affected clients.

3. Client Responsibilities

Clients agree to:

• Provide accurate and complete business information required to deliver services
• Grant RoofDemand necessary access to relevant accounts including Google Ads, Google Business Profile, Google Analytics, and website platforms
• Review and approve materials, pages, and campaigns within agreed timelines
• Pay all invoices on time per the terms of the service agreement
• Notify RoofDemand promptly of any changes to business information, service areas, or contact details
• Maintain responsibility for all business operations, customer relationships, and job fulfillment

RoofDemand is responsible for marketing performance and lead generation. Clients are solely responsible for converting leads into customers and for the quality of their roofing work.

4. Payments and Billing

Service fees are billed monthly per the terms of the service agreement. Invoices are due upon receipt unless otherwise specified. Late payments may result in suspension of services.

Ad spend for Google Ads and Local Services Ads is billed directly to the client’s own Google account and is separate from RoofDemand’s management fees. RoofDemand does not mark up ad spend.

All fees are non-refundable unless otherwise stated in a signed service agreement. If you believe a charge has been made in error, contact us within 30 days of the charge date.

5. Intellectual Property

Upon full payment of all outstanding fees, clients own all deliverables created specifically for them, including landing pages, ad copy, content, and campaign assets. RoofDemand retains ownership of proprietary processes, templates, methodologies, and tools used in service delivery.

Clients grant RoofDemand a limited license to use their business name, logo, and brand assets solely for the purpose of delivering the agreed services.

RoofDemand may reference client engagements in general marketing materials (e.g., “we work with roofing companies in X market”) without disclosing confidential performance data or identifying clients by name without their consent.

6. Confidentiality

Both parties agree to keep confidential any non-public business information shared during the course of the service relationship, including but not limited to strategy documents, performance data, pricing, and business processes.

This confidentiality obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

7. Results and Guarantees

RoofDemand does not guarantee specific results, rankings, lead volumes, or revenue outcomes. Digital marketing performance depends on factors outside our control, including market competition, Google algorithm changes, seasonality, and client responsiveness.

We commit to delivering services as described in the service agreement, applying industry best practices, and reporting transparently on performance. We do not guarantee placement in any specific search position or a specific number of leads per month.

8. Limitation of Liability

To the maximum extent permitted by applicable law, RoofDemand’s total liability to any client for any claim arising out of or related to our services shall not exceed the total fees paid by that client in the three months preceding the claim.

In no event shall RoofDemand be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or loss of business opportunity, even if advised of the possibility of such damages.

9. Termination

Either party may terminate the service relationship per the terms of the signed service agreement. Upon termination, RoofDemand will provide the client with access to all owned deliverables within a reasonable timeframe.

RoofDemand reserves the right to terminate services immediately, without refund, if a client engages in fraudulent activity, provides false information, or violates these Terms of Service in a material way.

Upon termination, territory exclusivity for the client’s service area is released.

10. Website Use

The content on roofdemand.co is provided for informational purposes only. You may not reproduce, distribute, or use our website content for commercial purposes without written permission.

We reserve the right to modify, suspend, or discontinue any part of our website at any time without notice. We are not liable for any damages resulting from your use of or inability to access our website.

11. Governing Law

These Terms of Service are governed by the laws of the State of Tennessee, without regard to its conflict of law provisions. Any disputes arising under these terms shall be resolved in the courts of Tennessee.

12. Changes to These Terms

We may update these Terms of Service from time to time. When we do, we will update the date at the top of this page. Continued use of our website or services after any changes constitutes acceptance of the updated terms. We encourage you to review these terms periodically.
